These Terms of Service (“Terms”) govern your access to and use of the website, services, and applications provided by Ostler Holdings, LLC DBA Ostler AI (“Ostler AI”, “we”, “us”, or “our”), including our landing page, hosted LLM inference application, and community forum.

By accessing our services, you agree to be bound by these Terms. If you are using the services on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

1. Description of Service

Ostler AI provides EDA-native AI solutions. This includes:

  • Hosted Inference: A cloud-based interface to interact with our custom-tuned LLM.
  • Community Forum: A public space for discussion hosted via Discourse.
  • Model Weights: Open-access or gated model weights provided via Huggingface for local deployment.

2. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate and current information.
  • Maintain the security of your password.
  • Notify us immediately of any unauthorized use of your account.

3. Data Usage and AI Training

A. Hosted Inference Services

By submitting prompts, code, or data (“Input”) to our hosted LLM inference application, you expressly grant Ostler AI the right to use such Input to train, tune, and improve our models. This data may be used to enhance the accuracy and capability of our AI for all users.

If you are handling highly sensitive, proprietary, or classified intellectual property that cannot be used for model training, DO NOT use the hosted inference service.

B. Privacy Alternative (Self-Hosting)

For users who require total data privacy, Ostler AI provides model weights for download via Huggingface. When you download and run these weights on your own infrastructure, Ostler AI does not have access to your inputs, and such data is not used for training. Use of downloaded weights is subject to the specific license agreement provided on the Huggingface repository.

4. User Conduct & Prohibited Use

You agree not to:

  • Use the service to generate malicious code or facilitate cyberattacks.
  • Attempt to reverse engineer the hosted service or extract the model weights through “prompt injection” or other adversarial attacks.
  • Use the Discourse forum to post spam, harassment, or proprietary information belonging to third parties.
  • Violate any local, state, or international laws.

5. Intellectual Property

  • Our Property: All software, model architectures, trademarks, and original content on the website are the property of Ostler AI.
  • Your Property: You retain ownership of the Inputs you provide. However, as stated in Section 3, you grant us a license to use those inputs for model improvement.
  • AI Output: Subject to your compliance with these Terms, Ostler AI assigns to you all its right, title, and interest in and to the output generated by the AI based on your Input.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

You acknowledge that:

  • Hallucinations: LLMs may generate inaccurate, incomplete, or unreliable information.
  • Technical Verification: AI-generated EDA solutions, code, or designs must be verified by a qualified human engineer before implementation.
  • No Guarantee: Ostler AI does not guarantee that the AI output will be bug-free, compatible with your specific hardware, or suitable for a particular professional purpose.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSTLER AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue.
  • Cost of correcting errors in chip designs or hardware produced based on AI output.
  • Data loss resulting from the use of our hosted services.

In no event shall Ostler AI’s total liability exceed the amount you paid to us in the twelve (12) months preceding the claim (or $100 USD if the service was provided free of charge).

8. Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

10. Changes to Terms

We may modify these Terms from time to time. We will notify you of changes by posting the updated date at the top of this page. Your continued use of the service after changes are posted constitutes acceptance of the new Terms.
